1. Who We Are and How to Contact Us

WeSpeak.now (“WeSpeak”, “we”, “our”, or “us”) operates the AI-powered language learning platform available at wespeak.now (the “Service”).

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

Children under 13. In accordance with the Children’s Online Privacy Protection Act (COPPA) and its 2025 amendments (effective April 22, 2026), the Service is not directed to children under 13, and we do not knowingly collect personal information from children under 13. If we become aware that we have inadvertently collected personal information from a child under 13, we will delete it promptly. If you believe we have received information from a child under 13, please contact us at contact@wespeak.now.

By using the Service, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and truthful.

3. Account Registration

To access certain features, you must register for an account. When registering, you agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information as needed
• Keep your password confidential and not share it with any third party
• Notify us immediately at contact@wespeak.now of any unauthorized access or security breach
• Accept full responsibility for all activity that occurs under your account

You may not create more than one account per person, or create an account on behalf of another person without their authorization. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Description of the Service

WeSpeak provides an AI-powered language learning platform that includes:

• Conversational practice with an AI language tutor
• Personalized feedback on grammar, vocabulary, and pronunciation
• Adaptive learning plans and progress tracking
• Free and premium subscription tiers

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

5. Subscriptions, Billing, and Cancellation

5.1 Free Tier

WeSpeak offers a free tier with limited features and usage. We reserve the right to modify or discontinue free tier features at any time.

5.2 Premium Subscriptions

Premium subscriptions are offered on a recurring monthly or annual basis. By subscribing, you authorize us to charge your chosen payment method automatically at the beginning of each billing period until you cancel. The applicable price and billing frequency are presented to you before you complete your purchase.

5.3 Price Changes

We will provide you with reasonable advance notice (no fewer than 30 days) of any price changes. Your continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@wespeak.now. Cancellation takes effect at the end of your current billing period; you will retain access to premium features until that date. We do not issue partial refunds for unused portions of a billing period.

5.5 Refunds

All fees are non-refundable except where required by applicable law (for example, statutory cooling-off rights available to consumers in the European Union or other jurisdictions). If you believe you are entitled to a refund under applicable law, please contact us at contact@wespeak.now.

5.6 Taxes

Prices displayed are exclusive of any applicable taxes (such as VAT, GST, or sales tax) unless stated otherwise. You are responsible for all applicable taxes associated with your purchase.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Service in any way that violates applicable local, national, or international law or regulation
• Harass, abuse, threaten, stalk, or harm any other person
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any part of the Service, its servers, or any associated systems
• Use automated tools (bots, scrapers, crawlers) to access or interact with the Service without our express written permission
• Share your account credentials with others
• Upload, transmit, or distribute any malware, viruses, or other malicious code
• Reverse-engineer, decompile, disassemble, or extract source code from the Service
• Use the Service for any commercial purpose other than as expressly permitted by us in writing
• Use the Service to train, fine-tune, or develop any external artificial intelligence or machine learning model without our prior written consent
• Interfere with or disrupt the integrity or performance of the Service or any associated infrastructure

Violation of this section may result in immediate suspension or termination of your account, and we reserve the right to report violations to appropriate law enforcement authorities.

7. AI-Powered Features and Important Disclaimers

The Service uses artificial intelligence to generate conversational responses, feedback, and learning content. By using these features, you acknowledge and agree that:

• AI output may contain errors. AI-generated content is not always accurate, complete, or up to date. You should not rely solely on the Service for decisions or assessments that require professional expertise.
• No guaranteed outcomes. We do not guarantee any specific learning results, fluency improvement, or language proficiency gains. The Service is a supplemental learning tool, not a substitute for qualified human instruction.
• Conversation processing. Your conversations with our AI tutor are processed to deliver the Service and may be used to improve our platform, in accordance with our Privacy Policy. We will not use your personal conversation data to train external AI models without your explicit consent, and we will never use data from users under 13 for AI training purposes.
• AI transparency. Where required by applicable law (including the California Generative AI Training Data Transparency Act (AB 2013), effective January 1, 2026, and Connecticut Public Act 25-113), we maintain and make available disclosures about the data used to develop our AI systems. 8. Intellectual Property

8.1 Our Intellectual Property

The Service, including all software, content, features, design, trademarks, logos, and technology, is owned by WeSpeak or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal, non-commercial language learning purposes, in accordance with these Terms.

8.2 Your Content

You retain ownership of any content you submit to the Service (including messages, recordings, and other materials) (“User Content”). By submitting User Content, you grant WeSpeak a worldwide, royalty-free, non-exclusive license to use, store, process, and reproduce that content solely as necessary to provide and improve the Service, as described in our Privacy Policy.

You represent and warrant that you own or have the necessary rights to submit your User Content, and that doing so does not infringe any third-party rights.

8.3 Copyright Complaints (DMCA)

If you believe any content on the Service infringes your copyright, please send a written notice to contact@wespeak.now including: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the infringing material; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement, under penalty of perjury, that the information in your notice is accurate and you are authorized to act on behalf of the copyright owner.

9. Privacy and Data Protection

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in that policy.

Where applicable, we comply with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), the Children’s Online Privacy Protection Act (COPPA) as amended in 2025, and other applicable data protection laws. Your rights under these laws — including rights of access, correction, deletion, portability, and objection — are described in our Privacy Policy.

10. Third-Party Services and Links

The Service may contain links to, or integrate with, third-party websites or services (including payment processors, analytics providers, and other vendors). We are not responsible for the content, practices, or policies of any third-party services, and their inclusion does not constitute our endorsement. Your use of any third-party service is governed by that service’s own terms and privacy policy.

11. Disclaimers of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WESPEAK SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any content is accurate or reliable. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WESPEAK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN ANY CASE, OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE LIABILITY IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless WeSpeak and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your breach of these Terms; (c) your User Content; or (d) your violation of any third-party rights or applicable law.

14. Termination and Suspension

We may suspend or terminate your account and access to the Service at any time, with or without prior notice, if we reasonably believe you have violated these Terms or if we are required to do so by law. We will endeavor to notify you by email where reasonably practicable.

You may close your account at any time by contacting us at contact@wespeak.now. Upon termination: (a) your license to use the Service ceases immediately; (b) any outstanding fees remain due; and (c) provisions of these Terms that by their nature should survive (including Sections 8, 11, 12, 13, 15, and 16) will remain in full effect.

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms and any dispute arising from your use of the Service will be governed by and construed in accordance with the laws of the jurisdiction in which WeSpeak is established, without regard to conflict of law principles. If you are a consumer in the European Union, you also benefit from the mandatory consumer protection laws of your country of residence.

15.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact us at contact@wespeak.now and give us 30 days to attempt to resolve the dispute informally.

15.3 Formal Dispute Resolution

If a dispute cannot be resolved informally, you and WeSpeak agree to submit the dispute to binding individual arbitration, except that either party may bring claims in small claims court if the claim qualifies. This agreement to arbitrate is subject to applicable consumer protection laws in your jurisdiction.

Class Action Waiver. To the extent permitted by applicable law, you waive the right to participate in a class action, class arbitration, or representative action against WeSpeak.

EU/EEA Consumers. If you are a consumer in the European Union or European Economic Area, you may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. General Provisions

• Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and WeSpeak regarding the Service and supersede all prior agreements.
• Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
• No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We will not be liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or other unforeseen circumstances.
• Notices. We may provide notices to you via email, in-app notification, or by posting on the Service. You may provide notices to us at contact@wespeak.now.

17. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you at least 30 days in advance by email (to the address associated with your account) and by posting a notice on the Service. For non-material changes, we will update the “Last updated” date at the top of this page.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
